OVERVIEW
This website is operated by Yoshiaki Ito Design, LLC, doing business as Yoshiaki Ito Design (“Yoshiaki Ito Design,” “we,” “us,” or “our”). We offer this website, including its information, content, features, tools, products, and related services (collectively, the “Services”), to you subject to these Terms of Service (“Terms”).
By accessing or using the Services, or by placing an order through https://yoshiakiito.com (the “Website”), you agree to these Terms and to the policies incorporated into them by reference. If you do not agree to these Terms, you should not use the Services.
Our store is hosted by Shopify, which provides the e-commerce platform that enables us to offer the Services and sell our products.
SECTION 1 – ELIGIBILITY AND LAWFUL USE
You must be at least the age of majority in your state, province, or country of residence to make a purchase through the Website. If you allow a minor to use the Website, you are responsible for supervising that use.
You may not use the Website, the Services, or our products for any illegal or unauthorized purpose. You must comply with all laws and regulations applicable to your use of the Services and our products.
You must not transmit viruses, malicious code, or any other material intended to interfere with, damage, or gain unauthorized access to the Website, the Services, or another person’s systems or information.
We may suspend or terminate access to the Services for violations of these Terms, subject to applicable law.
SECTION 2 – PRODUCTS AND PRODUCT INFORMATION
We make reasonable efforts to describe and display our products accurately. However, colors, textures, proportions, and other visual details may appear differently depending on your screen, lighting, photography, and display settings.
Many Yoshiaki Ito Design products are made from wood or other natural materials. Variations in wood grain, color, tone, texture, knots, and finish are natural characteristics of these materials and may make each product unique. These natural variations are not considered defects unless the product is damaged or does not materially conform to its description.
Hand-finished or individually assembled products may also have minor variations. Measurements and weights are approximate unless expressly stated otherwise.
Product availability, designs, materials, specifications, packaging, and prices may change. Changes will not affect an order that we have already accepted unless you agree to the change or applicable law permits it.
Products may be available only in limited quantities or in selected geographic regions. We may discontinue a product or limit purchase quantities for legitimate business reasons, including inventory limitations, suspected fraud, unauthorized resale, or attempts to circumvent purchase restrictions.
Nothing in this section limits any warranty, guarantee, or other consumer right that cannot legally be excluded.
SECTION 3 – PRICES, CURRENCIES, TAXES, AND PROMOTIONS
Prices are displayed in the currency associated with the market or location selected on the Website. Currency conversions and localized prices may include exchange-rate adjustments or rounding. The final price, currency, applicable taxes, shipping charges, duties, and other charges shown at checkout will control your order.
Prices may change without notice before an order is accepted. A price change will not apply retroactively to an order that we have already accepted.
Promotional offers, discount codes, free gifts, and other incentives are subject to the conditions displayed with the applicable promotion. Promotions may be modified or ended at any time before an order is placed, unless otherwise required by law. Promotions have no cash value and may not be combined unless expressly stated.
If a return causes an order to no longer meet the requirements for a promotional gift, the gift must also be returned in its original condition. If the gift is not returned, we may deduct its stated retail value from the refund, to the extent permitted by law and disclosed as part of the promotion.
SECTION 4 – ORDERS AND ACCEPTANCE
Submitting an order is an offer to purchase the products in that order. An automated order confirmation acknowledges that we received your order but does not necessarily mean that we have accepted it.
An order is accepted when we send a shipping confirmation or otherwise expressly confirm acceptance. If an order is shipped in separate packages, acceptance may occur separately for the products included in each shipment.
We may decline, limit, or cancel an order for legitimate reasons, including:

Pricing or product-information errors;

Payment authorization problems;

Suspected fraud or unauthorized activity;

Purchase quantities suggesting unauthorized resale;

If we cancel an order after payment has been collected, we will refund the canceled amount to the original payment method.
You are responsible for providing complete and accurate billing, shipping, contact, and account information. Please contact us promptly if you discover an error in your order information. We cannot guarantee that an address or order can be changed after fulfillment has begun.
SECTION 5 – PAYMENT
Payment must be completed using a payment method offered at checkout. Payments may be processed by Shopify or other third-party payment providers and are subject to their applicable terms and privacy practices.
You represent that you are authorized to use the payment method submitted with your order. We may request additional information reasonably necessary to verify an order or prevent fraud.
We do not directly control payment authorization decisions made by banks, card issuers, Shopify, or other payment providers.
SECTION 6 – SHIPPING AND DELIVERY
Shipping options, estimated delivery times, fulfillment information, customs duties, taxes, and other delivery conditions are described in our Shipping Policy.
Delivery estimates are not guaranteed unless expressly stated. Delivery may be affected by carriers, customs authorities, weather, public emergencies, supply disruptions, incorrect address information, or other circumstances outside our reasonable control.
Risk of loss and legal title will transfer as required by applicable law. Nothing in these Terms limits rights you may have if an order is lost, damaged, delayed, or not delivered.
SECTION 7 – RETURNS, REFUNDS, AND CONSUMER RIGHTS
Returns, exchanges, cancellations, damaged products, and refunds are governed by our Refund Policy.
Before returning any product, you must contact us and follow the return instructions we provide. Returns must be sent to the return address provided after the return is approved. Our registered business address is not a customer return facility, and products should not be sent there unless we expressly instruct you to do so.
Nothing in these Terms or our Refund Policy limits any mandatory consumer rights that apply in your country, state, or province. This includes any applicable rights relating to defective, damaged, misdescribed, or nonconforming goods and any statutory cancellation or legal-guarantee rights.
SECTION 8 – INTELLECTUAL PROPERTY
The Website, the Services, and their contents—including product designs, product configurations, mechanisms, shapes, sculptures, prototypes, images, photographs, videos, illustrations, drawings, text, graphics, logos, trademarks, trade names, packaging, page layouts, and other creative materials—are owned by or licensed to Yoshiaki Ito Design, LLC and are protected by applicable intellectual-property laws.
Morphits®, TAMEN, Yoshiaki Ito Design branding, and associated names, logos, product designs, and visual elements may not be used without our prior written permission, except where permitted by law.
Purchasing a product transfers ownership of that physical product only. It does not transfer any copyright, trademark, design right, patent right, trade dress, manufacturing right, or other intellectual-property right.
Except as permitted by applicable law, you may not copy, reproduce, manufacture, modify for commercial purposes, 3D-scan, create molds or production files from, distribute copies of, counterfeit, or commercially exploit our products or designs without our prior written permission. This does not restrict the lawful resale of a genuine physical product that you own.
You may use the Website for personal, noncommercial shopping and informational purposes. No portion of the Website or its content may be reproduced, republished, sold, licensed, or commercially exploited without our prior written permission.
SECTION 9 – REVIEWS, PHOTOS, AND USER CONTENT
If you submit a review, photograph, video, comment, testimonial, or other content through the Website or in connection with our products (“User Content”), you retain ownership of your original User Content.
You grant us a non-exclusive, worldwide, royalty-free license to reproduce, format, translate, publish, display, distribute, and use that User Content in connection with operating, promoting, and marketing Yoshiaki Ito Design and its products. This license includes use on our Website, social media, email marketing, advertising, retail materials, and other promotional channels.
You represent that:

You own the User Content or have permission to submit it;

The User Content is accurate to the best of your knowledge;

Our permitted use will not violate another person’s copyright, trademark, privacy, publicity, or other rights; and

We may moderate, decline to publish, or remove User Content that violates these Terms or applicable law. We are not obligated to publish or respond to every submission.
Please do not send confidential product concepts, inventions, or design proposals unless we have agreed in writing to receive them confidentially. Unsolicited ideas and proposals will not be treated as confidential, and submitting them does not create a partnership, fiduciary relationship, compensation obligation, or obligation to use or respond to the submission.
SECTION 10 – ACCOUNTS AND COMMUNICATIONS
If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account. You must notify us promptly if you believe your account has been accessed without authorization.
You agree to provide accurate and current information when placing an order or contacting us.
Transactional communications—including order confirmations, payment notices, shipping updates, return information, and service messages—may be sent electronically. Marketing communications are governed by your choices and our Privacy Policy.
SECTION 11 – THIRD-PARTY SERVICES AND LINKS
The Services may include functionality, content, integrations, payment services, review services, social-media features, or links provided by third parties.
Third-party websites and services are governed by their own terms and privacy policies. We do not control and are not responsible for third-party content, practices, availability, or transactions, except to the extent that responsibility cannot be excluded under applicable law.
A link to a third-party website does not necessarily mean that we endorse that website or its products or services. You should review the applicable third-party terms before completing a transaction or providing personal information.
SECTION 12 – PROHIBITED USES
You may not use the Website or Services:

We aim to keep the Website and Services accurate, secure, and available, but we do not guarantee uninterrupted or error-free operation.
The Website may occasionally contain typographical errors, inaccurate descriptions, incorrect prices, availability errors, or other omissions. We may correct errors and update information at any time.
If an error materially affects an order you have submitted, we will contact you when reasonably possible. If we cannot fulfill the order on the corrected terms, or if you do not agree to a material correction made before acceptance, we may cancel the affected item and refund any amount paid for it.
Historical, editorial, press, museum, award, and biographical content may be provided for general informational purposes and may not reflect the most recent developments.
SECTION 14 – DISCLAIMERS
To the maximum extent permitted by applicable law, the Website and online Services are provided on an “as available” basis. We do not guarantee that access will always be uninterrupted, timely, secure, or free from technical errors.
These Website-related disclaimers do not eliminate obligations that apply to products we sell and do not limit any express promise, statutory warranty, legal guarantee, or mandatory consumer right.
Some jurisdictions do not permit certain warranty exclusions. Any exclusion in these Terms applies only to the extent permitted in your jurisdiction.
SECTION 15 – LIMITATION OF LIABILITY
Nothing in these Terms excludes or limits liability where doing so would be unlawful. In particular, these Terms do not exclude or limit liability for:

To the maximum extent permitted by law, Yoshiaki Ito Design, LLC and its officers, employees, agents, affiliates, contractors, service providers, and licensors will not be liable for indirect, incidental, special, punitive, or consequential losses arising from use of the Website or Services when such losses were not reasonably foreseeable.
For users acting primarily for business or commercial purposes, and to the maximum extent permitted by law, our total aggregate liability arising from the Website, Services, or a product will not exceed the amount paid for the product or order giving rise to the claim.
For consumers, our liability will be limited only to the extent permitted by the mandatory laws applicable to the consumer.
SECTION 16 – RESPONSIBILITY FOR MISUSE
To the extent permitted by law, you are responsible for losses, claims, or reasonable costs resulting directly from your intentional unlawful use of the Services, your material breach of these Terms, or your infringement of another person’s rights.
This section does not apply to the extent that a loss was caused by our own act or omission, and it does not impose obligations that are prohibited under applicable consumer law.
SECTION 17 – SUSPENSION AND TERMINATION
You may stop using the Services at any time.
We may suspend or terminate your access to all or part of the Services if we reasonably believe that you have materially violated these Terms, engaged in fraud or unlawful activity, threatened the security of the Services, or created legal risk for us or another person.
Termination does not affect rights or obligations arising before termination, including obligations relating to accepted orders, payment, intellectual property, liability, and dispute resolution.
You remain responsible only for amounts lawfully due for accepted orders or Services provided before termination.
SECTION 18 – GOVERNING LAW AND DISPUTES
These Terms and any dispute arising from them are governed by the laws of the State of Florida and applicable federal laws of the United States, without regard to conflict-of-law principles.
However, if you are a consumer, this choice of law does not deprive you of mandatory protections available under the laws of your state, province, or country of residence.
To the extent permitted by applicable law, disputes not subject to mandatory consumer jurisdiction will be brought in the appropriate state courts located in Volusia County, Florida, or the applicable federal courts in Florida. Consumers may bring claims in any court or forum available to them under mandatory applicable law.
Before commencing formal proceedings, we encourage you to contact us so that we can attempt to resolve the matter directly.
SECTION 19 – CHANGES TO THESE TERMS
We may update these Terms to reflect changes to the Services, our business practices, or legal and regulatory requirements.
The revised Terms will be posted on this page with an updated effective date. We will provide additional notice of material changes when required by law.
Changes will apply prospectively from the stated effective date. Orders already accepted will generally remain governed by the Terms in effect when the order was accepted, unless a change is required by law or you agree otherwise.
SECTION 20 – GENERAL PROVISIONS
These Terms, together with our Refund Policy, Shipping Policy, Privacy Policy, and any other policies expressly incorporated by reference, form the agreement between you and us concerning your use of the Services.
If there is a conflict, the Privacy Policy controls matters involving personal information, the Refund Policy controls returns and refunds, and the Shipping Policy controls shipping and delivery.
If any provision of these Terms is found to be unlawful or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary. The remaining provisions will remain in effect.
Our failure to enforce a provision is not a waiver of our right to enforce it later.
We will not be responsible for delay or failure caused by circumstances beyond our reasonable control, provided that this does not limit any refund, delivery, or other consumer right required by law.
Translations of these Terms may be provided for convenience. To the extent permitted by law, the English version controls if there is a conflict. Where applicable law requires otherwise, that law will apply.
